The terms on which Firstcall Automation provides this website, its products, documentation and services.
1. About these terms
These Terms & Conditions ("Terms") govern your access to and use of the website at www.firstcallautomation.com (the "Site"), and, where stated, the supply of products, software, documentation, training and consultancy services ("Services") by Firstcall Automation ("Firstcall Automation", "we", "us"). By using the Site or engaging our Services you agree to these Terms. If you do not agree, do not use the Site.
2. Use of the Site
- You may use the Site for lawful business and informational purposes only.
- You must not attempt to gain unauthorised access to the Site, its servers or connected systems, introduce malicious code, or disrupt the Site.
- You must not scrape, republish, frame or systematically extract content from the Site without our written consent.
- We may modify, suspend or withdraw all or part of the Site at any time without notice.
3. Intellectual property & product copyright
All content on the Site — text, graphics, logos, the "Firstcall" and "Firstcall Automation" names and marks, images, page layouts and code — is owned by or licensed to Firstcall Automation and is protected by copyright, trade mark and other intellectual property laws.
All product names, model designations, hardware designs, schematics, firmware, embedded software, protocol implementations (including our implementations of IEC 60870-5-101/103/104, IEC 61850, DNP3, DLMS/COSEM and Modbus), configuration tools, point databases, drawings and operating manuals relating to our RTUs, the SCADA Gateway and related products are the exclusive copyright and intellectual property of Firstcall Automation.
- You may download and print product manuals and datasheets solely to evaluate, install, operate and maintain equipment supplied by us.
- You must not copy, distribute, sell, sub-license, modify, decompile, disassemble or reverse engineer our firmware, software or protocol implementations except to the extent this restriction is prohibited by applicable law.
- No licence to any Firstcall Automation intellectual property is granted except as expressly stated in a signed agreement.
Third-party standards referenced on the Site (for example those of the IEC, IEEE, DNP Users Group and DLMS User Association) remain the property of their respective owners. Any other third-party trade marks are the property of their respective owners and are used for identification only.
4. Custom protocol development
Where we develop bespoke protocol drivers or converters for you, ownership of, and licence terms for, the resulting software (including any source code, source escrow and rights to background or pre-existing IP) will be set out in the applicable statement of work or contract. In the absence of a signed agreement to the contrary, Firstcall Automation retains ownership of all background IP, tools and reusable components, and grants the customer a non-exclusive licence to use the delivered driver with equipment supplied or approved by us.
5. Quotations, orders & supply of products
- Information on the Site is an invitation to enquire, not an offer to sell. Prices, specifications and lead times are confirmed only in a written quotation.
- Quotations are valid for the period stated on them and are subject to our formal terms of sale, which will be provided with the quotation and prevail over these Terms for any purchase.
- Specifications may change as products are improved; we will advise material changes affecting an accepted order.
6. Services, training & consultation
- Training schedules, agendas, durations and prices are indicative until confirmed in writing.
- Consultation opinions and recommendations are given in good faith based on the information and access provided to us; you remain responsible for decisions taken on your systems.
- Site work is subject to your provision of safe access, permits to work, and accurate as-built information.
7. Warranties & disclaimers
Product warranties are as stated in our terms of sale. Except as expressly provided there, and to the fullest extent permitted by law, the Site and its content are provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that information on the Site is complete or current.
8. Limitation of liability
To the fullest extent permitted by law, Firstcall Automation shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, data, production or goodwill, arising out of or in connection with your use of the Site. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud. Liability arising from the supply of products or Services is governed by the limits in the relevant signed contract or terms of sale.
9. Third-party links
The Site may link to third-party sites. We do not control and are not responsible for their content, policies or practices.
10. Privacy
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.
11. Changes to these terms
We may update these Terms from time to time. The version published on the Site at the time you use it applies. Material changes affecting an active contract will be handled through that contract's change process.
12. Governing law
These Terms and any dispute arising from them are governed by the laws of India, and the courts of Chennai, Tamil Nadu shall have exclusive jurisdiction, unless a signed contract between us states otherwise. (Adjust jurisdiction to the operating entity's location before publishing.)
